1. Agreement to Terms

The Power Mates provides enterprise data and AI consulting services, including but not limited to:

• Microsoft Fabric architecture, optimization, and migration consulting
• Power Platform implementation and governance advisory
• Tenant scanning and environment health assessments
• Semantic model audits and performance optimization
• Data pipeline design, health checks, and Spark job optimization
• Executive briefings and strategic advisory sessions

Specific deliverables, timelines, and scope are defined in individual Statements of Work (SOW) or engagement agreements provided prior to each project.

3. Engagement Process

All consulting engagements begin with a scoping conversation. No work is commenced until both parties agree to a written scope, timeline, and fee structure. Engagement terms may be documented via a Statement of Work, proposal acceptance, or email confirmation.

4. Payment Terms

• Fees for services are as quoted on our website or in a custom proposal.
• Payment is due according to the schedule specified in the engagement agreement. Standard terms are 50% upfront and 50% upon delivery, unless otherwise agreed.
• Payments are processed via Stripe or bank transfer (ACH/wire).
• All fees are in US Dollars (USD) unless otherwise stated.
• Late payments may incur a fee of 1.5% per month on the outstanding balance.
• Refunds are handled on a case-by-case basis. If we are unable to deliver the agreed scope, we will issue a pro-rated refund for undelivered work.

5. Client Responsibilities

To ensure successful delivery, clients agree to:

• Provide timely access to required environments, data, and stakeholders
• Designate a primary point of contact for the engagement
• Review and provide feedback on deliverables within agreed timelines
• Ensure necessary permissions and licenses are in place for tools and platforms involved

6. Intellectual Property

Client Materials

You retain all ownership rights to your data, configurations, and proprietary business information shared during an engagement.

Our Deliverables

Upon full payment, clients receive a perpetual, non-exclusive license to use all deliverables created specifically for their engagement (reports, code, documentation, recommendations).

Our Methods and Tools

We retain ownership of our proprietary methodologies, frameworks, templates, and tools that existed prior to or were developed independently of any engagement. These may be reused across clients.

All content on thepowermates.com (text, graphics, logos, code) is owned by The Power Mates and protected by copyright. You may not reproduce, distribute, or create derivative works without written permission.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during an engagement. This obligation survives the termination of any agreement. We will never share your data, findings, or business details with third parties without your explicit written consent.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from an engagement shall not exceed the fees paid by the client for that specific engagement.
• We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.
• Our consulting services provide recommendations and guidance. Implementation decisions and outcomes remain the client's responsibility.
• We are not liable for issues arising from third-party platforms (Microsoft, Azure, etc.) or client-side environment changes made outside our engagement scope.

9. Warranty Disclaimer

Our services are provided "as is" and "as available." While we strive for excellence and stand behind our work, we make no warranties, express or implied, regarding the results of our consulting services. We do not guarantee specific business outcomes, performance improvements, or ROI figures.

10. Termination

Either party may terminate an engagement with 14 days written notice. In the event of termination:

• Client is responsible for payment for all work completed through the termination date.
• We will deliver all work-in-progress and documentation completed to that point.
• Pre-paid fees for undelivered work will be refunded on a pro-rated basis.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Washington, United States. Any disputes arising from these terms or our services shall be resolved in the courts of King County, Washington.

12. Website Use

When using our website, you agree not to:

• Submit false or misleading information through our forms
• Attempt to access restricted areas or interfere with site functionality
• Scrape, copy, or redistribute our content without permission
• Use the site for any unlawful purpose
